Hospital shall notify [Payer] of the issuance of any final judgment against the Hospital by any governmental agencies, the Joint Commission or any other licensing or accreditation organization, which would, if sustained, materially impair the Hospital’s ability to comply with its duties and obligations pursuant to this Agreement.
