Option 1 - Assignability.
Neither Hospital nor [Payer] may assign, delegate or transfer this Agreement or the rights granted herein without written consent of the other party.  Notwithstanding the foregoing, [Payer] may assign or subcontract any of its obligations or rights hereunder for purposes of performing administrative and management services for [Payer], but [Payer] may not assign or subcontract its Participating Provider network to an insurance company or health maintenance organization not owned by or affiliated with [Payer] without written consent of Hospital.

Option 2
Neither party may assign, delegate or transfer this Agreement or the rights granted herein without written consent of the other party, which consent shall not be unreasonably withheld.
